1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and OpenVerdict Limited ("OpenVerdict," "we," "us," or "our"), registered at 8 The Green, Ste A, Dover, DE 19901. By accessing or using the OpenVerdict platform (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are using the Platform on behalf of a law firm, legal organization, or other entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2. Description of the Platform

OpenVerdict is a web-based software-as-a-service platform that provides trial preparation intelligence for licensed attorneys and litigation teams. The Platform aggregates publicly available information, performs structured analysis, and produces juror profiles, bias indicator mapping, and voir dire preparation frameworks.

The Platform provides analytical support tools designed to assist attorneys in trial preparation. It does not replace attorney judgment, legal research, or professional analysis.

3. Acceptable Use

The Platform is intended for use by licensed attorneys, paralegals, litigation support professionals, and other authorized members of legal teams in connection with lawful trial preparation activities. You agree to use the Platform only for purposes consistent with applicable laws, court rules, and professional conduct obligations.

You agree not to:

  • Use the Platform to harass, intimidate, or contact jurors directly
  • Upload information obtained through unlawful means
  • Redistribute, resell, or sublicense Platform outputs without authorization
  • Attempt to reverse-engineer, decompile, or extract proprietary algorithms
  • Use the Platform in violation of any court order or applicable rule of professional conduct
  • Misrepresent AI-generated analysis as human-produced work product

4. Use by Licensed Attorneys and Litigation Teams

The Platform is designed for use by legal professionals engaged in trial preparation. By using the Platform, you represent that you are a licensed attorney in good standing, or that you are operating under the supervision of a licensed attorney who has authorized your use of the Platform.

5. Public Data Analysis Disclaimer

OpenVerdict aggregates and analyzes publicly available information including, but not limited to, public court records, government filings, professional registries, corporate records, property records, and publicly accessible online content such as social media profiles and professional networking sites.

OpenVerdict does not collect, access, or process private, restricted, sealed, or otherwise non-public information. The Platform does not use deceptive means, false credentials, or unauthorized access methods to obtain data.

OpenVerdict does not guarantee the completeness, accuracy, or currency of any publicly available data source. Public records are maintained by third-party government agencies, courts, and institutions, and may contain errors, omissions, or outdated information.

Users must independently verify all information presented by the Platform before relying on it in any legal proceeding, court filing, jury selection, or professional context.

6. Juror Analysis Disclaimer

OpenVerdict provides analytical signals, structured juror profiles, and informational summaries designed to assist licensed attorneys and litigation teams in trial preparation and voir dire planning.

OpenVerdict expressly does not:

  • Determine juror suitability for any case or proceeding
  • Recommend juror strikes, selections, or challenges
  • Predict trial outcomes, jury verdicts, or juror behavior
  • Assign risk scores or suitability ratings to individual jurors

All strategic and tactical decisions regarding jury selection must be made by licensed attorneys exercising their own independent professional judgment. The Platform is a decision-support tool - not a decision-making system.

7. No Legal Advice

The Platform does not provide legal advice. All outputs - including juror profiles, bias indicators, voir dire question frameworks, and analytical summaries - are informational tools intended to support, not replace, the professional judgment of licensed attorneys.

OpenVerdict is not a law firm, does not practice law, and does not establish an attorney-client relationship with any user. The Platform is intended for use by licensed attorneys and litigation professionals as part of their independent legal preparation. Users are solely responsible for all decisions made in reliance on Platform outputs.

8. No Prediction of Case Outcomes

The Platform does not predict juror behavior, verdict outcomes, or case results. Bias indicators and analytical outputs reflect structured synthesis of publicly available information and should not be interpreted as predictive assessments, probability estimates, or outcome forecasts.

OpenVerdict expressly disclaims any representation that its analysis can predict how any juror will vote, deliberate, or otherwise participate in legal proceedings. No output of the Platform should be characterized or represented as a prediction in any context.

9. User Responsibility for Verification

Users are solely responsible for verifying all information presented by the Platform, including but not limited to:

  • Identity matches - confirming that juror profiles correspond to the correct individuals
  • Public record accuracy - verifying that records cited are current and correctly attributed
  • Signal relevance - evaluating whether indicators generated by the system are relevant to the specific case and jurisdiction
  • Source reliability - assessing the reliability of underlying public data sources

The Platform may generate insights based on incomplete, ambiguous, or potentially misattributed public information. OpenVerdict shall not be liable for any consequences arising from a user's failure to independently verify Platform outputs before use.

10. Ethical Use of Juror Information

By using the Platform, you agree to use all juror information and analytical outputs in accordance with all applicable federal, state, and local laws, court rules, and ethical guidelines governing jury research, voir dire preparation, and juror investigation.

Users are solely responsible for ensuring their use of the Platform complies with:

  • Local court rules regarding juror research and investigation
  • Applicable rules of professional conduct, including ABA Model Rules and state-specific ethics opinions
  • Any standing orders or case-specific restrictions on juror research
  • Federal and state privacy laws applicable to juror information

OpenVerdict does not monitor or enforce compliance with jurisdiction-specific rules. Users must consult their own professional obligations before using Platform outputs in connection with any legal proceeding.

11. AI Analysis Transparency

OpenVerdict uses artificial intelligence systems to analyze patterns, correlations, and indicators within publicly available data. AI-generated outputs represent analytical interpretations of available information - they are not factual determinations, verified conclusions, or expert opinions.

AI systems may produce outputs that are incomplete, reflect patterns not present in the underlying data, or fail to identify relevant information. All AI-generated analysis is clearly identified within the Platform.

Users must review, evaluate, and independently assess all AI-generated outputs before relying on them in any professional context. OpenVerdict does not represent AI-generated analysis as equivalent to human expert analysis.

12. Data Source Transparency

The Platform may rely on third-party data providers, public record aggregators, court filing systems, and publicly accessible websites to compile juror information. OpenVerdict does not control these external sources and cannot guarantee their continued availability, accuracy, completeness, or timeliness.

Changes to third-party data sources, access restrictions, or data availability may affect the scope or completeness of Platform outputs without prior notice. OpenVerdict shall not be liable for any limitations arising from third-party data source changes.

13. User Responsibility for Uploaded Data

Users are responsible for all data they upload to the Platform, including juror names, panel information, case details, and trial notes. By uploading data, you represent and warrant that:

  • You have the legal right to upload and process such data
  • Your use of such data complies with applicable laws and court rules
  • You will not upload information that is privileged, sealed, or otherwise restricted from disclosure

14. Intellectual Property Rights

The Platform, including its software, algorithms, user interface, documentation, and all related intellectual property, is owned by OpenVerdict Limited and is protected by applicable intellectual property laws.

Users retain ownership of data they upload to the Platform. OpenVerdict retains ownership of all analytical outputs, methodologies, and structured formats generated by the Platform. Users are granted a limited, non-exclusive license to use Platform outputs in connection with their legal practice.

15. Platform Availability

OpenVerdict endeavors to maintain reasonable availability of the Platform but does not guarantee uninterrupted or error-free operation. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

OpenVerdict shall not be liable for any damages arising from Platform unavailability, including during trial preparation or active litigation.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPENVERDICT LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

WITHOUT LIMITING THE FOREGOING, OPENVERDICT SHALL NOT BE LIABLE FOR:

  • Litigation outcomes or jury verdicts
  • Juror selection or challenge decisions made by users
  • Reliance on Platform-generated insights, indicators, or analytical outputs
  • Inaccuracies in public records or third-party data sources
  • AI-generated analysis that is incomplete, incorrect, or misinterpreted

OPENVERDICT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO OPENVERDICT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

The Platform is provided as an informational tool to assist professional legal judgment. It is not a substitute for competent legal analysis, investigation, or professional responsibility.

17. Indemnification

You agree to indemnify, defend, and hold harmless OpenVerdict Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law, court rule, or professional conduct obligation; (d) any claim that your use of the Platform infringed upon or violated the rights of any third party; or (e) your failure to independently verify Platform outputs before use in legal proceedings.

18. Termination

OpenVerdict may suspend or terminate your access to the Platform at any time, with or without cause, upon notice to you. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, indemnification, and dispute resolution.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

20. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Platform shall first be submitted to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, it shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association, with the arbitration to take place in Wilmington, Delaware.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

21. Changes to Terms

OpenVerdict reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform or by email to registered users at least thirty (30) days before taking effect. Continued use of the Platform following notice of changes constitutes acceptance of the revised Terms.
